1. About these Terms

These Terms of Service (Terms) govern your access to and use of the SCRLODX platform, including scrlodx.com, mobile experiences, business dashboards, video feeds, stories, advertising features and related services (Platform). The Platform is operated by SCRLODX (we, us, our). By creating an account, claiming a business listing, uploading content, advertising, interacting with business content or otherwise using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

2. Nature of the Platform

SCRLODX is a verified business discovery and advertising platform. Its primary purpose is to help users discover Australian businesses, organisations, products and services through short-form video, business listings and related business information. SCRLODX is not intended to operate as a general social media platform, public forum, messaging service or user-generated content community. Only verified businesses, organisations and authorised representatives may publish content. Consumer users may discover, like, save, follow and share business content, but cannot publish posts, comments, photos, videos, stories or public discussions.

3. Eligibility

You must be at least 18 years old to create a Business Account or claim, manage, advertise or publish content for a business or organisation. Consumer Accounts may be used only by people who are legally permitted to use the Platform under applicable law. The Platform is not intended for children where its use would require SCRLODX to provide an age-restricted social media service. We may refuse, suspend or remove accounts where required to comply with online safety, age-restriction, identity, verification or other legal requirements.

4. Account Types

SCRLODX may offer different account types, including Business Accounts and Consumer Accounts. Business Accounts are for verified businesses, organisations and authorised representatives and may publish business content once verification is completed. Consumer Accounts are for users who want to discover and engage with business content through available Platform features. Consumer Accounts do not permit users to publish content to the Platform. You are responsible for your account, keeping login details secure and all activity under your account. Tell us promptly if you suspect unauthorised use.

5. Business Verification

To claim, create, manage or publish content for a business, you must be authorised to represent that business or organisation. SCRLODX may verify an Australian Business Number (ABN), Australian Company Number (ACN), business name, email address, phone number, website, location, identity, authority to act, or any other information we reasonably require. We may refuse or revoke publishing access if verification fails, becomes inaccurate, appears fraudulent, or if we reasonably suspect a listing has been claimed or controlled by an unauthorised person.

6. Business Listings

Some businesses may appear on the Platform using publicly available information or information provided by third-party sources. If you claim or manage a listing, you are responsible for ensuring the listing is accurate, current, lawful and not misleading. We may amend, restrict or remove listings that are inaccurate, duplicated, misleading, unlawful, unverified or in breach of these Terms. If your business appears on SCRLODX and you do not want it listed, you may request removal using the in-product tools or by emailing hello@scrlodx.com.

7. Content and Licence

You retain ownership of photos, videos, captions, logos, business information, advertisements and other material you upload or provide (Your Content). You grant SCRLODX a non-exclusive, royalty-free, worldwide, sub-licensable licence to host, store, reproduce, transcode, compress, adapt, format, optimise, publish, display, distribute and promote Your Content on and in connection with the Platform. This licence extends to our hosting, storage, delivery, analytics and technical service providers solely so they can operate, secure, optimise and deliver the Platform.

8. Content Warranties

You warrant that you own or have all rights, licences, permissions and consents needed to upload, publish and allow SCRLODX to use Your Content. Your Content must not infringe intellectual property, privacy, publicity, consumer, advertising, confidentiality or other rights. If Your Content shows identifiable people, music, trademarks, products, locations, testimonials, health claims, prices, offers or regulated services, you are responsible for obtaining any consent, clearance or approval required by law. Businesses must only upload content relating to their own business or organisation.

9. Consumer Interaction Features

Consumer Accounts may interact with business content only through features SCRLODX makes available, such as liking, saving, following and sharing. Unless SCRLODX expressly introduces additional features, Consumer Accounts cannot publish posts, upload photos or videos, publish stories, leave comments, reply to users, send direct messages, tag users, create discussion threads or create public consumer profiles that publish content. SCRLODX may introduce, modify, restrict or remove interaction features at any time, including where needed to comply with online safety, age-restriction or other legal requirements.

10. Acceptable Use

You must use the Platform lawfully, honestly and in accordance with these Terms and our Acceptable Use Policy. You must not misuse the Platform, scrape data, interfere with security, impersonate another person or business, submit false verification information, claim a business without authority, upload unlawful content, or attempt to bypass consumer publishing restrictions. Consumer Accounts must not attempt to publish content by creating a Business Account or using another person's account. We may remove content, restrict features or suspend accounts that breach this clause.

11. Advertising

Advertising on SCRLODX is also governed by our Advertising Terms. Advertisers are responsible for ensuring advertisements, offers, prices, claims, targeting, promotions and landing pages comply with all applicable laws, industry rules and platform policies. We may reject, remove, pause, label or restrict advertising that is misleading, unlawful, inappropriate, poor quality, inconsistent with SCRLODX's brand or not suitable for the Platform. Payment for advertising does not guarantee impressions, clicks, conversions, placement, performance or ongoing approval unless expressly agreed in writing.

12. Subscriptions, Fees and Payments

Paid plans, including any Community, Founding Member or business subscription tiers, are billed in advance through our payment processor, Stripe. Prices are in Australian dollars and may include or exclude GST as shown at checkout. Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current paid period. Except where required by law, including the Australian Consumer Law, fees already paid are non-refundable. Nothing in these Terms limits non-excludable rights under the Australian Consumer Law.

13. Founding Member Offer

Where offered, a Founding Member rate is a discounted subscription rate held for the life of a continuous subscription. Lifetime means for so long as that subscription remains continuously active. If the subscription lapses, is cancelled, payment fails and is not remedied, or the account is terminated for breach, the offer ends and is not reinstated. Founding Member places may be capped, released in limited waves and withdrawn for future customers at any time. While active, we will not increase that Founding Member subscription rate.

14. Reporting and Moderation

You may report content, advertisements, listings or accounts you believe are unlawful, misleading or in breach of our policies using in-product tools or by emailing report@scrlodx.com. We may review, remove, restrict, label, demonetise or disable content, advertisements, listings or accounts. We may act immediately where content appears unlawful, harmful, fraudulent, unauthorised, abusive, infringing, unsafe or inconsistent with SCRLODX's purpose. We do not guarantee any particular moderation outcome or response time unless a specific legal obligation applies.

15. Intellectual Property

The Platform, including software, source code, design, layout, features, branding, trade marks, the SCRLODX name, logo, systems, databases and related intellectual property, is owned by or licensed to SCRLODX. Except for rights expressly granted to you, nothing in these Terms transfers any intellectual property to you. You must not copy, modify, reverse engineer, scrape, extract, replicate, resell or create derivative works from the Platform except as permitted by law or agreed by SCRLODX in writing.

16. Third-Party Services

The Platform may integrate or rely on third-party services, including Stripe, hosting providers, storage providers, content delivery networks, mapping services, authentication services, analytics tools, communication tools and embedded links. We are not responsible for third-party services, websites, outages, terms, privacy practices, fees or content. Your use of third-party services may be governed by their own terms and policies. We may add, remove or change third-party providers where reasonably necessary to operate, improve, secure or maintain the Platform.

17. Availability and Changes

We aim to keep SCRLODX available, reliable and secure, but we do not guarantee the Platform will be uninterrupted, error-free, secure or available at all times. We may modify, suspend, discontinue or restrict features, including user interaction features, dashboards, feeds, stories, search, advertising or verification tools. Where a change materially reduces a paid feature you rely on, we will take reasonable steps to notify you and, where required by law or these Terms, provide an appropriate remedy.

18. Consumer Guarantees and Limitation of Liability

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Subject to those guarantees and to the maximum extent permitted by law, the Platform is provided as is and as available. We exclude all other warranties, express or implied. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, loss of profits, revenue, data, goodwill or opportunity. Our total liability is limited to re-supplying the relevant service, paying the cost of re-supply, or the amount paid in the 12 months before the claim.

19. Suspension, Termination and Indemnity

You may stop using the Platform at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect SCRLODX, users, businesses, the public or the integrity of the Platform. For non-serious remediable breaches of paid accounts, we will usually give at least 7 days to remedy. You indemnify SCRLODX against third-party claims, losses and costs arising from Your Content, advertisements, unauthorised business claims, breach of these Terms or breach of law, except to the extent caused by our own unlawful or negligent conduct.

20. Operator, Changes and Governing Law

The Platform is operated by SCRLODX (ABN 39 919 354 547), Queensland, Australia. General enquiries: hello@scrlodx.com. Reports: report@scrlodx.com. We may update these Terms from time to time and will post the updated version with a new last updated date. Where changes are material, we will give reasonable notice before they take effect. Continued use after changes take effect means you accept the updated Terms. These Terms are governed by the laws of Queensland, Australia and the Commonwealth of Australia.
